Financial Institutions & Fintech

CM Law assists financial institutions with the full range of regulatory, compliance, and business needs they face in today’s evolving landscape.

We work closely with management and boards of directors on legal, regulatory, and disclosure matters. Our attorneys have experience across regulatory compliance, including drafting documents that comply with applicable federal and state banking laws, and we advise banks on where a proposed arrangement carries regulatory implications before they agree to it.

We assist clients with creating and reviewing forms for credit card and debit card programs, electronic fund transfers, electronic banking, and financial privacy, and we routinely handle treasury management, vendor, and outsourcing matters for bank and institutional clients. Our Outsourcing and Technology Group is rated Tier 1 among Best Law Firms by U.S. News.

We help clients manage liability when acting on behalf of their customers’ benefit plans, whether as a fiduciary, such as trustee for a 401(k) or other retirement plan, or as a third-party administrator handling the allocation of contributions and investment earnings among participant accounts. We have considerable experience performing nondiscrimination testing for benefit plans.

We also help financial institutions keep their own retirement products current, including IRAs of various types, health savings accounts, and the prototype plan documents used by the institution.

We assist banks, savings and loan associations, and other financial institutions in the acquisition and disposition of lines of business, including securities, mortgage brokerage, trust, investment advisory, insurance, and real estate operations. These transactions require an understanding of both the businesses themselves and the applicable state and federal statutes and regulations. We prepare the necessary applications and advise on regulatory compliance questions as they arise.

Our attorneys collaborate across CM Law’s practice groups, including our Technology, Outsourcing & Commercial Transactions and Employment & Labor teams, to deliver coordinated counsel that addresses the regulatory and operational demands financial institutions face.
