Amr Jayousi is lender’s counsel on leveraged financing transactions, including broadly syndicated loans, club financings, and direct lending. His expertise lies in the covenant-protection side of that work: structuring and negotiating the terms that guard lenders against liability-management exercises, including uptiering, collateral drop-downs, and the erosion of pro rata sharing and other sacred rights (including so-called J.Crew and Serta-type risks). He is at his sharpest on aggressive, sponsor-backed agreements and TLBs—the paper where those risks are most often buried—and financial institutions rely on him to tell them precisely where an agreement leaves them exposed and where they sit in the capital stack.

Beyond individual transactions, Amr helps lenders build the legal frameworks by which they evaluate credit across a portfolio, the diligence standards, guardrails, and review disciplines that let an institution assess a book of credits consistently rather than one deal at a time.

That focus sits on a broad debt-finance foundation. Amr advises across the full range of financing models and structures, secured and unsecured, syndicated and bilateral, including acquisition finance, project finance, bridge and mezzanine facilities, and cross-border lending. He is equally comfortable as agent’s counsel on a large syndicate and as lead counsel on a bilateral facility, and he works fluently in both LSTA and LMA documentation.

Amr began his career in the finance group at Vinson & Elkins LLP in Houston, advising lenders and borrowers across the oil, gas, and broader energy sector, and continued at White & Case LLP, where he handled complex global project-based and syndicated financings. He regularly contributes to industry publications on syndicated and secured lending. He holds a J.D. from the University of Michigan Law School, and in addition to English, is fluent in Arabic and Spanish, which supports his cross-border practice.
